Terms of Service

Takoffa provides AI-assisted tools for construction-related workflows, including project document analysis, takeoffs, quantity and scope analysis, materials generation, project programmes and related functionality.

Certain features may be identified as beta, early access, preview or coming soon. Such features may be changed, limited or withdrawn as the Service evolves.

Features described as "coming soon" are not part of the currently available Service, and no specific release date is guaranteed unless we expressly state otherwise.

We may improve, modify or replace features from time to time. Where a change materially reduces a paid Service, we will provide notice where reasonably practicable.

You may use Takoffa only in connection with a trade, business, profession or commercial activity. Takoffa is not intended for personal, household or consumer use.

You must provide accurate information when creating and maintaining an account. You are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account.

If you use Takoffa for an organisation, you are responsible for ensuring that persons using the Service through that organisation are appropriately authorised.

You must promptly notify us if you believe your account or credentials have been compromised.

You must not share or use credentials in a manner intended to circumvent account, subscription, project, AI usage or other Service limits.

We may request reasonable information about you or your organisation where necessary to provide the Service, prevent fraud or abuse, comply with law, or determine eligibility for particular functionality.

"Customer Content" means drawings, plans, specifications, documents, project information, organisation information, data, instructions and other materials submitted to the Service by or on behalf of you, together with outputs generated specifically from those materials.

You retain your rights in Customer Content.

You grant Takoffa a limited, non-exclusive licence to host, copy, process, transmit, display and otherwise use Customer Content only as reasonably necessary to:

• provide and operate the Service;
• generate analyses and outputs requested through the Service;
• maintain, secure and troubleshoot the Service;
• provide customer support;
• prevent fraud, abuse and security incidents; and
• comply with applicable law.

You represent that you have the rights, permissions and lawful bases necessary to submit Customer Content and permit its processing in accordance with these Terms.

Takoffa does not sell Customer Content.

Our processing of personal data is further described in our Privacy Policy.

Except for Customer Content, Takoffa and its licensors retain all rights, title and interest in and to the Service, including its software, interfaces, designs, documentation, workflows, branding and other proprietary technology and materials.

Subject to these Terms, Takoffa grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for its intended business purposes while you are entitled to use it.

These Terms do not transfer ownership of the Service or Takoffa's intellectual property to you.

The Service uses automated and AI-assisted systems. Outputs may contain errors, omissions, incorrect interpretations, inaccurate measurements, incomplete scope coverage or other inaccuracies.

Takeoffs, quantities, measurements, scope analyses, materials information, project programmes and other outputs are provided as decision-support information and are not a substitute for professional judgement.

You are responsible for reviewing and validating outputs against the original drawings, specifications, contractual documents, site conditions and other relevant project information before relying on them.

In particular, outputs should be independently reviewed before they are used for tender submissions, quotations, contracts, procurement, ordering materials, labour planning, construction activities, financial commitments or other decisions that may result in cost, liability or safety consequences.

You remain responsible for decisions made using the Service and for determining whether outputs are suitable for your particular project or purpose.

You must not use or attempt to use the Service:

• unlawfully or fraudulently;
• to process content that you do not have the right to use;
• to infringe intellectual property, privacy or other rights;
• to introduce malware or malicious code;
• to interfere with the availability, integrity or security of the Service;
• to gain unauthorised access to accounts, systems, networks or data;
• to probe, scan or test vulnerabilities without our written authorisation;
• to circumvent authentication, security controls, rate limits, AI allowances, project limits or other technical restrictions;
• to reverse engineer, decompile or attempt to derive non-public source code or proprietary technology, except to the extent such restriction is prohibited by applicable law;
• to use automated methods in a manner that places an unreasonable or disproportionate load on the Service; or
• to assist another person in doing any of the above.

We may investigate suspected misuse and take reasonable measures to protect the Service, our customers and third parties.

The Service may be offered under free and paid plans with different project limits, AI processing allowances and feature entitlements. Current plan details are shown on the Takoffa website or within the Service.

Takoffa may measure AI usage using "AI Units" or another usage metric described within the Service. Actual usage may vary depending on the size and complexity of project documentation and the AI operations performed.

For paid monthly plans, monthly AI allowances reset at the beginning of each applicable billing period. Unused monthly AI allowance does not roll over to subsequent billing periods unless expressly stated otherwise.

Free-plan allowances may be subject to lifetime, project or other limits described when the plan is offered.

We may technically enforce plan and usage limits. Attempting to circumvent those limits constitutes misuse of the Service.

Paid subscriptions are billed in advance on a recurring basis at the price and billing frequency displayed at the time of purchase.

Unless otherwise stated at checkout, paid monthly subscriptions automatically renew each month until cancelled.

Payments for Takoffa subscriptions are processed by Paddle, which acts as Merchant of Record for applicable transactions. Your purchase may therefore also be subject to Paddle's applicable buyer, payment and refund terms.

Prices, promotional pricing, applicable taxes and discounts will be displayed at or before checkout.

Where an introductory or promotional price applies for a specified period, the subscription will revert to the applicable standard price after that period unless cancelled, in accordance with the information presented at purchase.

We may change subscription pricing prospectively. Where reasonably practicable, we will provide notice before a new price applies to an existing subscription.

You may cancel a paid subscription at any time.

Unless otherwise stated at the time of cancellation, cancellation takes effect at the end of the current paid billing period. You may continue to use the applicable paid features until that period ends, after which the subscription will not renew.

Payments already made are generally non-refundable except where a refund is provided under Paddle's applicable policies, expressly agreed through the applicable payment process, or required by law.

You may stop using the Service at any time. We may suspend or restrict access where reasonably necessary to:

• address a breach of these Terms;
• prevent suspected fraud, abuse or security threats;
• protect the Service, customers or third parties;
• respond to non-payment; or
• comply with legal or regulatory requirements.

Where reasonably practicable, we will provide notice and an opportunity to remedy a breach before terminating an account, unless immediate action is reasonably necessary for security, fraud prevention, legal compliance or prevention of harm.

We may terminate access for a material or repeated breach of these Terms. Termination does not affect rights or obligations that accrued before termination.

Takoffa uses third-party providers to operate parts of the Service, which may include cloud infrastructure, authentication, payment processing, analytics, communications, business-information services and AI processing providers.

The availability and operation of some functionality may therefore depend on third-party services outside Takoffa's direct control.

Where third-party terms apply directly to you, you are responsible for complying with those terms.

Use of third-party providers does not transfer ownership of your Customer Content to those providers.

We process personal data in accordance with our Privacy Policy and applicable data-protection law.

Where you submit personal data relating to employees, workers, customers, subcontractors or other individuals, you are responsible for ensuring that you have an appropriate lawful basis and authority to provide that information to the Service.

Where applicable law requires Takoffa and a customer to enter into additional data-processing terms, the parties may enter into an appropriate Data Processing Agreement.

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free availability.

The Service may occasionally be unavailable due to maintenance, upgrades, technical failures, third-party outages, security measures or circumstances outside our reasonable control.

We may introduce updates, fixes and changes to maintain the security and operation of the Service.

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We do not warrant that:

• the Service will always be available, uninterrupted or error-free;
• AI-assisted outputs will be complete, accurate or suitable for a particular purpose;
• the Service will identify every item, quantity, measurement, scope requirement, conflict or omission contained in project documentation; or
• use of the Service will produce any particular commercial, tendering, estimating or project outcome.

Nothing in these Terms excludes warranties, rights or remedies that cannot lawfully be excluded.

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

Subject to the preceding paragraph and to the maximum extent permitted by applicable law, Takoffa will not be liable for indirect or consequential losses, or for loss of profits, revenue, business, contracts, anticipated savings, goodwill or business opportunities arising from use of or inability to use the Service.

Subject to applicable law, Takoffa's aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees paid by you for the Service during the twelve months immediately preceding the event giving rise to the claim.

We may update these Terms where reasonably necessary to reflect changes to the Service, our business, applicable law, security requirements or third-party services.

Where a change is material, we will provide reasonable notice through the Service, by email or by another appropriate method before the change takes effect where reasonably practicable.

The "Last updated" date at the top of these Terms identifies the latest version.

These Terms and any dispute or claim arising out of or relating to them are governed by the laws of Ukraine.

The courts of Ukraine will have jurisdiction over disputes arising from these Terms, subject to any mandatory provisions of applicable law.

Before commencing formal proceedings, we encourage you to contact us so that we can attempt to resolve the matter directly.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.

We may transfer our rights and obligations in connection with a reorganisation, sale of the business or transfer of the Takoffa Service.

These Terms, together with any policies or terms expressly incorporated by reference, constitute the agreement between you and Takoffa concerning use of the Service.
